Payment
Terms
1. Pre bid EMD:
In
order to participate in bidding for lots which require pre bid EMD, the
bidder is required to have sufficient balance in the EMD wallet
provided to the bidder for the purpose. A bidder can add money to its
EMD wallet anytime through e-payment mode only and by following the
link Pay Pre Bid EMD provided in the dashboard. Bidders in their own
interest are advised to keep sufficient balance in their EMD wallet to
bid in any auction and avoid any last minute hiccup. MSTC/Seller shall
not be responsible for any delay in crediting of the money in
MSTC’s
bank account due to any reason resulting in delay in updating the EMD
wallet of the bidder.

Bidders
need to use INTERNET EXPLORER ONLY (Version 11 & above). After
successful login, will get three new links/tabs at their homepage as:

Pre
Bid EMD must be paid by the bidder in GLOBAL PRE-BID WALLET (NEFT/RTGS)
through Pay Pre Bid EMD link only. For Refunds, Bidders need to request
through the EMD Refund Request link only. Refund to bidder as per their
online request will also be processed from HO on the next working day.
This pre-bid EMD cannot be used for any other purpose.
PRE-BID
EMD SHALL BE ADJUSTED WITH THE SERVICE CHARGE ONLY, AFTER RECEIPT OF
THE BALANCE MATERIAL VALUE ALONG WITH APPLICABLE DUTIES & TAXES
WITHIN THE DUE DATE, FALLING WHICH PRE-BID EMD STANDS AUTOMATICALLY
FORFEITED.
2. Balance Payment:
Buyer
/ Bidder will have to deposit the Material Value to the Seller /
Principal directly.
The cost of each lot of material along with all taxes and duties must
be paid by the Buyer in one single instalment within 15
days from
the date of e-auction for accepted lots. (excluding the date of
acceptance).
For STA lots the bidders shall deposit the payment within 15
days from date of
acceptance of STA.
In
case of failure to pay the Sale Value (including applicable taxes)
within stipulated period, the Pre-bid EMD will be forfeited.
In
case of forfeiture of Pre-bid EMD/EMD, the forfeited Pre-bid EMD/ EMD
amount shall be treated as inclusive of GST amount at the applicable
rate.
In
all cases dues under any provincial/local law shall be payable by the
purchaser exclusive of the sale value to the Seller/Principal. Any
other tax due in respect of the sale under any law for the time being
in force shall be payable by the purchaser in addition to the price.
Late
payment –
For delayed payment of balance sale value along with service charge,
taxes and duties, late payment charge @1%(of total material value
excluding taxes) per week or part thereof for maximum period of 14
calendar days is also to be charged. However, this shall not confer any
right to the bidder to make any late payment of balance sale value and
applicable duties and taxes and MSTC/Seller reserves the right to
accept or not to accept the payment of the balance sale value with or
without the additional charges after the expiry of the due payment time
as mentioned above.
In the
event of delayed payment beyond the specified period of 2 weeks with
late payment charge prior consent of seller for acceptance of payment
with/without additional late payment charge has to be obtained.
Transfer
of Property – The
formalities related to the transfer of the property will be completed
by the buyer themselves. However, the Seller shall provide the required
clearances, documents and assistance in order to complete the transfer
of the property within the timeline. All associated costs including the
Registration Charge, Stamp Duty, legal expenses etc. are to be solely
borne by the buyer.
The
transfer of the property shall be done within 60 days from the
acceptance of the bid or 45 days from the date of full payment,
whichever is earlier. The seller shall have the right to extend the
date of transfer of property, at its sole discretion, considering all
circumstances. If the transfer of the property is not completed within
the timeline as mentioned above, the Pre-bid EMD will be forfeited.

IMPORTANT
NOTES:
1.
It is the responsibility of the willing parties who will participate in
the Online Auction, to go through the requirements and submit all
documents as per conditions mentioned in this auction document. Hence
the parties are advised to carefully go through the requirements of
this auction document and submit all relevant information. Any
deviation to the requirements of this auction document (lack of
information etc) will be construed as conditional and measures as
decided by the Seller will be applicable. The decision of the Seller in
this regard will be final and binding on the bidder.
2. The auction catalogue on the live e auction floor should be treated
as final and binding.
3.
Though a facility is provided to bidders to select a category in the
live auction floor, however, buyers in their own interest are advised
to go to live e auction floor, after selecting "all categories". MSTC
will not be responsible for any oversight in selecting the category in
live e-auction/lot on the part of bidders/buyers.
4.
In case the last date of submission of payment happens to fall on a
Public Holiday, the next day shall be considered as the date of
submission of payment.
5.
Buyers have to inspect the material thoroughly and satisfy themselves
about the nature, hazardous/explosive properties, if any, before
submitting the bid. In case they come across any material beyond the
scope of the description of material, it should be informed to
MSTC/Seller. MSTC will not be responsible for any complaint in this
regard.
6.
Risk- The property in every respect shall remain at the risk of the
buyer from the date of acceptance of their offer and MSTC/Seller shall
not be under a liability for the safe custody or preservation thereof.
7.
Assignment or sub-letting of contract : The buyer shall not assign or
sub-let this contract or any part thereof without the written
permission of the MSTC/Stockholder and even if permitted to do so shall
remain liable from fulfilment of the contract.
8.
If for any reasons the Seller cannot supply the material/products
offered through the online forward auction or part thereof cannot be
delivered, the liability of the Seller will be limited only to refund
of proportionate amount paid by the customer as applicable for the
quantity not delivered along with security.
9.
Moreover, the Seller shall not be in any way held responsible for the
consequences arising out of buyer’s dealing /contract or any
arrangement with third party based on supplies from the Seller.
10.
The Seller reserves the right to withdraw from the sale after
advertising or after issue of sale order of any quantity of the
material without assigning any reasons thereof to the customer. The
Seller will not be responsible for any damages/loss whatsoever to the
customer on account of such withdrawal.
11. Conditional bids will not be considered.
12. Arrangement instruments and/or DD/PO of Cooperative Bank shall not
be accepted.

Other
Terms and Conditions:
1. MSTC Ltd. shall hereinafter be referred to as MSTC and DIF as
Principal/Seller.
2.
Bid validity is as per above mentioned date which can be extended by
the seller upon mutual acceptance by the H1 bidder through their MSTC
login. The bid validity extension shall be requested by the seller
before the expiry of bid validity or within 7 days after the expiry of
bid validity. The bidder has a maximum of 7 days’ time period
to convey
their response in the system, if not responded the bid validity
extension request shall be considered as automatically declined.
3.
All the materials/properties are offered for sale on AS IS WHERE IS
basis, i.e., where they are stacked and NO COMPLAINT BASIS. Materials
are sold on the assumption that bidders have inspected the same and
know what they are buying, irrespective of whether they have first
inspected the materials or not andno complaint shall be entertained in
this regard. After the submission of bid(s) by the Buyer, a presumption
would be drawn that the buyer has inspected the material/property and
has satisfied himself/herself about the nature, quantity, quality,
other technical specifications, taxes-duties and legalities prior to
the e-auction. No complaint, whatsoever, on the points referred above,
would be entertained after the submission of the bid.
4.
VALIDITY OF CONTRACT: Upto the expiry of the delivery period mentioned
in the Delivery Order/Release Order issued by PRINCIPAL or upto the
extended period in case the Delivery period is extended by the
PRINCIPAL at their sole discretion, as the case may be.
5. The rates must be quoted exclusive of all taxes, duties and any
other levies etc.
6. Bidders shall submit the related documents as and when demanded by
MSTC / Owners.
7.
The Sale will be governed by the Material List & Special Terms
& Conditions (STC) displayed on the Live e-Auction Floor (and
not
under Forthcoming Auctions) as well as the General Terms&
Conditions (GTC) and Buyer Specific Terms & Conditions (BSTC)
already accepted by the Bidder at the time of eAuction Registration
with MSTC. The Material List & STC displayed under View
Forthcoming
Auctions on MSTC's eAuction Website are tentative and subject to change
at MSTC's sole discretion before the start of eAuction. Bidders should
therefore download the Material List and STC displayed only under View
Live Auctions for their record purpose, if required. The BSTC and GTC
can be seen and downloaded by going to the Home Page of the eAuction
Website and clicking on NEW USER. Participation in the eAuction will be
deemed to imply that the Bidder has made himself thoroughly aware of
and accepted the STC, BSTC and GTC. In case of any conflict between the
STC and BSTC, the STC shall prevail. MSTC shall have the right to issue
addendum to the STC or BSTC, to clarify, amend, modify, supplement or
delete any of the conditions, clauses or items stated therein and the
Addendum so issued shall form a part of the original STC.
8.
The Principal/Seller of the materials reserves the right to withdraw at
any stage the sale of any item or quantity of material either by number
or by weight or any other specific unit etc, even after issue of Sale
Order/Delivery Order. The Principal/Seller will not be bound to assign
any reason or details thereof. Value of the materials so withdrawn, if
any, and paid by the buyer will be refunded. The Principal will
however, not be responsible for any damage, loss, direct or
consequential compensation whatsoever to the buyer nor for payment of
any interest.
9. Since
materials to be sold shall never come under the custody or possession
of the MSTC Ltd., any isuue and/or complaint from the bidders/buyers on
account of title of the property, possession of the property, quality,
quantity or delivery of the same shall be solely handled by the seller
only and in no case MSTC shall be held responsible for the same.
10. Dispute Resolution:
a.
In case of dispute & differences arising out of or in
connection
with this contract, the same shall be resolved by way of arbitration.
The arbitration clause appearing in BSTC shall be treated to be
applicable here.
b. The Court
under whose Jurisdiction the of MSTC’s office, which is
carrying out
the event/auction is located, shall have the exclusive jurisdiction in
the matter.
NOTE: After the
submission of bid(s) by the Buyer, a presumption would be drawn that
the buyer has inspected the material/property and has satisfied
himself/herself about the title of the property, possession of the
property, nature, quantity, quality, other technical specifications,
taxes-duties and legalities prior to the e-auction. No complaint,
whatsoever, in respect to the above referred points, will be
entertained after the submission of the bid by the bidder.
SPECIAL
ADMONITIONS IN RESPECT OF SALE/ LEASE OF IMMOVEABLE PROPERTIES
The Bidders/ Buyers are advised to note the following amongst others,
before bidding:
1.
The Auction Provider i.e., MSTC Limited does not warrant or hold out
any assurance or guarantee that the properties of the Seller/Owner to
be sold/leased out through e-auction/s are free from encumbrances/
charges/ liens/ mortgage/ lis pendes whatsoever.
2.
The Bidders/ Buyers are required to satisfy themselves, before taking
part in the e-auction, through proper searches and enquiries about the
title of the Seller/ Owner possession, condition etc. of the
properties, put up for sale/lease. The Auction Provider assumes no
responsibility or liability for patent or latent defects, if any, in
the title and/or possession of the Seller/ Owner, which has not been
discovered by the Bidders/ Buyers by exercise of ordinary prudence and
diligence.
3. The properties
being put up for sale/lease at any particular e-auction in the portal
of the Auction Provider does not carry any warranty or assurance of
their soundness and MSTC Limited does not warrant or hold out any
assurance or guarantee to the Bidders/ Buyers, for which the Bidders/
Buyers are required to satisfy themselves by carrying out due-diligence
and/or searches in consultation with Seller/ Owner. In no event, the
Service Provider, i.e., MSTC Limited shall be held liable for any
defects in title, subsisting encumbrances, charges or litigations on
the properties put up for Sale/lease.
